Just 48 hours before the scheduled TGE, DeFi App unilaterally changed investor vesting terms—removing the originally agreed 33% unlock in May 2025 and replacing it with a 12-month cliff and 3-year linear vesting. These changes were communicated as non-negotiable, without any formal vote or consent from investors, including lead backers. The justification provided was vague: “Tier 1 exchange requirements.” But no documentation, exchange terms, or clear reasoning was shared. Instead, the change was framed as mandatory across all stakeholders—investors, team members, and advisors—ignoring basic governance practices and contractual expectations. Early-stage investors took material risk to support this project pre-product. To be sidelined at the finish line, days before TGE, sets a dangerous precedent. This isn’t just about vesting; it’s about accountability, transparency, and honoring agreements. Professionally speaking, any founder capable of retroactively altering investor terms with no recourse should be met with caution. Regardless of how strong the metrics look, investors deserve to know that this is a founder who can and will change terms unilaterally. Proceed with care on any future ventures led by Dan Geer. Structures and contracts are only as strong as the leadership behind them.

DeFi, by its nature, is a space that many users find difficult to navigate. But Dan and his team brought an amazing product into our lives that makes everything easier: the Defi App. No more dealing with gas fees, bridges, or pointless KYC processes. Everything is simple and easy... which is exactly how DeFi should be and Dan made it happen. I’m glad I left a comment for him on Ethos. And I genuinely want to thank him for creating such a simple, life easing product.
